1. GENERAL TERMS OF USE
By purchasing or using MSP ART products, you agree to these Terms of Use. Unless expressly stated otherwise in writing, the purchaser receives a license to use the purchased files, not ownership of the artwork or underlying intellectual property.
The purchaser is the licensed user of the purchased product, subject to the exceptions expressly stated in these terms. All permissions are limited to uses expressly permitted by the applicable license. A purchase does not automatically grant exclusive rights, ownership, sublicensing rights, or permission to redistribute original files.
2. PERMITTED USES
Purchased files may be used to create physical products, including shirts, mugs, prints, crafts, and similar items, for personal use or small-business sales. Finished physical products may be sold through Etsy, the purchaser’s own website, or in-person.
Purchasers may use their own equipment, including DTF and sublimation equipment, or work with print shops and suppliers to produce permitted finished items, provided the original files are not redistributed or sublicensed beyond what is necessary and permitted for production.
Digital papers, alphas, and clipart may be used in new digital products, Seamless backgrounds may be used as a background in a new seamless pattern and as a digital paper, only when combined with other elements and significantly transformed into a new design, subject to the restrictions in these terms.
Sublimation transfers featuring arranged letters may be sold, but transfers consisting of full alphabets are not permitted under this permission.
Line art may be incorporated into transformed artwork and finished products in accordance with Section 4.
PROHIBITED USES
Purchasers may not resell, share, distribute, or redistribute digital files; upload or use MSP ART designs on print-on-demand platforms; claim MSP ART designs as their own; or create new digital products except where expressly permitted by the digital use license (when purchased) and line art provisions.
Prohibited print-on-demand and marketplace manufacturing platforms include, but are not limited to, Printful, Printify, Redbubble, Amazon Merch, and similar services.
Purchasers may not modify patterns , use artwork for factory manufacturing, overseas production, bulk production, or large-scale manufacturing without required permission; use artwork for AI training, AI generation, or AI remixing; trace, steal, or misuse the artwork; or share licensed files outside the applicable licensed household or business.
Where a printer or supplier is used, the arrangement must be limited to authorized production and must not involve unauthorized redistribution or sublicensing of original files. The supplied license states that, if a printer is utilized, the designs must only be printed for the purchaser’s usage.

DIGITAL PAPERS, ALPHAS, FONTS,CLIPART & DIGITAL ASSETS
Digital papers, alpha sets, and clipart are intended to serve as design elements within creative projects. They may be used in personal or commercial designs, including illustrations, alpha sets, clipart compositions, seamless patterns, logos, branding elements, and other finished products.
Permitted actions include modifying, layering, recoloring, cropping, and combining assets with other elements. When creating new digital products for sale, the assets must be combined with other elements and significantly transformed into a new design.
Original files may not be resold, shared, or redistributed as-is, or redistributed in a way that allows the original files to be easily extracted. Purchasers may not claim the original papers, alphas, clipart, or other MSP ART assets as their own original work.
Modified assets may not be sold in a way that allows customers to extract or obtain the original files substantially unchanged. Digital papers are intended as a creative foundation rather than the final product in their original form. Not all digital papers are seamless, and not all seamless files are classified as digital papers; product titles and descriptions identify intended use.

MINOR CHILDREN & HOUSEHOLD USE EXCEPTION
Minor children within the purchaser’s household may use purchased line art and design files to create and sell physical handmade items or finished products under the original purchaser’s license. Examples include bows, shirts, crafts, handmade small-business items, and finished clipart or digital products made in accordance with the applicable license.
This exception is intended to encourage creativity and learning for children and families. It does not permit resale or sharing of original digital files, AI generation, AI remixing, AI training, redistribution of original artwork, claiming unaltered artwork as original work, or sharing files outside the licensed household. All other terms continue to apply.
INTELLECTUAL PROPERTY, OWNERSHIP & RIGHTS
MSP ART retains all rights, ownership, and intellectual property rights to its artwork, designs, illustrations, patterns, digital papers, line art, clipart, and digital files unless ownership is expressly transferred in writing.
No ownership of the underlying artwork or intellectual property is transferred by purchasing a product or receiving access to a shared drive or folder. Purchasers receive only the license rights expressly granted by these terms or a separate written agreement.
Purchasers may not claim MSP ART artwork as their own original work or represent themselves as the original creator of MSP ART designs. All license permissions remain subject to the restrictions and conditions in this agreement.
SHARED-DRIVE & FOLDER ACCESS PURCHASES
Purchases that include access to shared drives or folders apply only to the standard digital products and product types specified at the time of purchase. Unless expressly stated otherwise in writing, drive access does not include collaborations, exclusive designs or releases, custom work, separately packaged premium collections, or products outside the purchased product category or access arrangement.
Access includes the digital products within the product type specified at the time of purchase for the selected access period, such as monthly, yearly, or lifetime access. Drive access is provided as a method of file delivery and organization; it does not transfer ownership of files or underlying intellectual property.
Access does not independently guarantee that every future product, collaboration, exclusive release, premium collection, or custom project will be added to the drive. MSP ART may modify, restrict, suspend, or revoke access in cases of misuse, unauthorized sharing, or violations of the applicable terms, agreement, and law.
VIOLATIONS, TERMINATION & REVOCATION OF LICENSE
Violation of these Terms of Service constitutes a breach of the applicable license agreement. MSP ART reserves the right to immediately terminate or revoke the licenses and usage rights granted under the affected agreement, and to suspend or revoke access to shared drives, folders, files, and download links, without prior notice, to the extent permitted by applicable law.
The seller reserves the right to modify, restrict or revoke access at any time, including but not limited to cases of misuse, unauthorized sharing or violation of these terms.
Upon termination of a license, the client may no longer use, reproduce, distribute, or otherwise benefit from the affected files to the extent the applicable license rights have been terminated. Continued use, reproduction, or distribution after termination of the applicable license is prohibited and may result in further action where supported by the agreement and applicable law.
Termination of access does not transfer ownership of artwork to the purchaser or authorize use of MSP ART intellectual property beyond rights that remain valid under the applicable agreement or law.
No refunds will be issued for termination resulting from a violation of these Terms of Service, including the loss of drive access, licensing privileges, or other benefits associated with the violating account, except where a refund is required by applicable law.
Upon termination of a license, all usage rights granted under that license will end to the extent permitted by the applicable agreement and law. The former licensee must discontinue any use, reproduction, distribution, sale, or other exploitation of the affected files that is no longer authorized.
Continued unauthorized use, reproduction, distribution, or sale of MSP ART files following termination may result in further action to enforce MSP ART’s intellectual property rights and protect its business interests.
MSP ART reserves all rights and remedies available under the applicable agreement and law.

LEGAL & LIABILITY NOTICE
All files are sold as-is unless otherwise expressly stated in writing. MSP ART is not responsible for how files are used after purchase, including third-party use, platform actions, printing outcomes, or production results outside MSP ART’s control.
Purchasers are responsible for ensuring their intended use complies with the applicable license, platform requirements, and other obligations relevant to their products or business activities. MSP ART reserves the right to pursue available remedies for unauthorized use of its intellectual property or violations of these terms where supported by the facts and applicable law.
Nothing in these terms excludes liability or limits rights where such exclusion or limitation is prohibited by applicable law.
WATERMARKS, PREVIEWS & ARTWORK PROTECTION
When sharing products made with MSP ART artwork, files, or graphics, all preview photographs and mockups must be visibly watermarked. Watermarks help prevent unauthorized copying, theft, and misuse of artwork.
Purchasers must not remove, obscure, or misuse identifying marks in a manner that misrepresents the origin or ownership of MSP ART artwork.
UPDATES TO THESE TERMS
MSP ART reserves the right to update or modify these Terms of Use. Purchasers should review the applicable terms and any separate written licensing agreement when purchasing or using MSP ART products and services.
Continued use of products or services following an update may constitute agreement to updated terms to the extent permitted by applicable law and the terms governing the purchase. Where a separate written agreement applies to a specific purchase or license, that agreement may govern the rights and obligations applicable to that transaction.

ACKNOWLEDGMENT
By purchasing or using MSP ART products, you acknowledge responsibility for reviewing and complying with applicable licensing restrictions and permitted uses. You acknowledge that MSP ART retains ownership of original artwork and intellectual property unless otherwise expressly stated in writing; purchased files may be used only within the permissions granted; original files may not be resold, redistributed, or shared except where expressly permitted; and transformation requirements, production limits, print-on-demand restrictions, and AI-related restrictions apply as specified in these terms.
You also acknowledge that shared-drive access does not automatically include exclusive releases, collaborations, custom work, or premium collections, and that fraudulent payment claims, falsified documentation, knowingly misleading transaction evidence, unauthorized file sharing, and licensing violations may result in appropriate action.
